ZOOP Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the ZOOP social app platform (“ZOOP” or the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. We recommend you to also review our Privacy Policy (which is incorporated by reference) to understand how we collect and use your data.

ZOOP is a forward-looking social platform, so please note that some features involve digital tokens and novel mechanics. Make sure you understand your rights and responsibilities outlined here.

I. Introduction and Scope

1. Definitions. In these Terms, unless the context requires otherwise, the following capitalized terms have the meanings given below:

  • “ZOOPIES” – the in-app engagement rewards you earn through meaningful interaction and participation on the Platform (e.g. posting content, liking, commenting, sharing). ZOOPIES are loyalty points that accumulate based on your activity and are non-transferable, have no independent monetary value and are used solely within the Platform as part of the rewards system.
  • “ZOOP Points” – the transitional reward units in the ZOOP ecosystem that can be converted from ZOOPIES during designated conversion periods (for example, at the end of a season or campaign) and, in turn, may be redeemed for ZOOPCoin (defined below). ZOOP Points are non-transferable outside the Platform and have no monetary value, but they represent your accrued reward balance towards obtaining possible ZOOPCoin.
  • “ZOOPCoin” (“$ZOOP”) – the native network utility token of the ZOOP Platform. ZOOPCoin is a cryptographic digital token intended to power the Platform and its features, enable governance participation and reward users and creators. Users can acquire ZOOPCoin by potentially    converting ZOOP Points (once ZOOPCoin is officially launched or distributed) or through other mechanisms provided on the Platform. ZOOPCoin is not a currency or security, but a network utility token to use within the ZOOP ecosystem and power the Platform.
  • “ZOOP Platform” or “Service” – the online social network service called ZOOP (including any website, app, smart contracts and related services) operated by ZOOP.
  • “ZOOP” (“we”, “us” or the “Company”) – the organization that owns and operates the ZOOP Platform.
  • “User” or “you” – any person or entity who accesses or uses the Platform. This includes Creators (users who produce and share content on ZOOP) as well as general users who consume content, engage and participate in the community (also called “Fans”).
  • “Content” – any text, images, videos, audio, graphics, posts, comments or other material that is created, posted, transmitted or otherwise made available on the Platform by users.
  • “Staking” – the voluntary action of locking a certain amount of ZOOPCoin within the Platform’s smart contract or designated system for a defined period of time, in exchange for certain benefits (such as earning rewards or achieving a Loyalty Tier status). While staked, tokens cannot be transferred or withdrawn until the lock period ends, though the user retains ownership of the staked tokens.
  • “Loyalty Tiers” – the membership levels in ZOOP’s loyalty program that Users attain by staking ZOOPCoin. The current utility-based tiers (in ascending order) are Basic, Silver, Gold, Platinum and Centurion. Each tier has a required amount of ZOOPCoin to be staked (determined by the standardized USD reference equivalency value, used internally) and grants specific benefits and rewards to the User (as detailed in Section 10).
  • “Governance” – the community decision-making process facilitated by ZOOP, in which active ZOOPCoin holders may participate (for example, by voting on proposals or influencing on utility-based certain platform policies or features). Governance mechanisms are designed to give the community a voice in the Platform’s development, but do not, in any circumstance, constitute any formal partnership, ownership or control of ZOOP by Users.

Additional terms may be defined in other parts of these Terms. In case of any ambiguity, the context will determine the meaning. Headings are for convenience only and do not affect interpretation.

2. Acceptance and Scope of Agreement. These Terms apply to all access and use of the ZOOP Platform by Users. By registering an account or otherwise using the Platform, you confirm that you have read, understood and agree to these Terms, including any policies referenced herein. If you do not agree, you must not use the Platform. These Terms (together with the Privacy Policy and any other guidelines or terms expressly incorporated by reference) constitute the entire agreement between you and ZOOP regarding your use of the Platform, superseding any prior agreements or communications.

These Terms govern all features of the Platform, including but not limited to social networking features, the ZOOPIES and ZOOP Points’ reward system, the ZOOPCoin loyalty and staking program, and any content-sharing or community governance activities. The Platform may from time to time issue additional rules, guidelines or terms for specific activities (e.g., community guidelines, contest rules or token sale terms); any such additional terms are incorporated into these Terms by reference and are legally binding. In the event of a direct conflict between these Terms and any additional terms, these Terms will prevail unless the additional terms expressly state otherwise. 

The Platform is offered worldwide except in jurisdictions where certain features (such as cryptocurrency token usage or reward redemption) may not be legally available (see Section 3 on Eligibility). ZOOP makes no representations that the Service is appropriate or available in any location. Users who access the Platform do so on their own initiative and are responsible for compliance with local laws.

II. User Accounts and Eligibility

3. User Eligibility and Account Registration. To register for and use the ZOOP Platform, you must: (a) be at least 18 years old (or the age of majority in your jurisdiction) and fully legally competent to agree to these Terms; (b) not be barred from using the Service under any applicable laws. By creating an account, you represent and warrant that you meet these eligibility requirements. We may ask you to verify your age or identity at any time to ensure compliance.

Users from the following countries will not be permitted to open accounts or execute transactions on the ZOOP Platform: Afghanistan, Belarus, the Central African Republic, Democratic Republic of the Congo, Cuba, Guinea-Bissau, Islamic Republic of Iraq, Democratic People’s Republic of Korea, Libya, Mali, Myanmar, Russia, Somalia, South Sudan, Sudan, Syrian Arab Republic, Ukraine, Bolivarian Republic of Venezuela and Yemen. You further represent that you are not located in, a citizen of, or ordinarily in any country or jurisdiction that is subject to any embargo, sanction or legal restrictions by the applicable authorities which would make your use of a blockchain-based social platform or receipt of digital tokens unlawful or unduly risk. ZOOP may restrict or disable certain features (such as earning or converting ZOOPIES or ZOOP Points or receiving ZOOPCoin) for Users in targeted jurisdictions in order to comply with applicable laws and regulations. It is your responsibility to understand and comply with the laws of your jurisdiction when using the Platform.

When registering an account, you agree to provide truthful, accurate and complete information. This may include choosing a username, providing a valid email address or linking a supported wallet, and any other information we requested for account setup. You also agree to keep your registration information updated if it changes. 

Each User may register only one account on the Platform, unless expressly permitted by us in writing and creating multiple accounts for the same individual or entity, or misrepresenting your identity or affiliation, is strictly prohibited and can result in suspension or termination of all related accounts (see Section 6).

We reserve the right to refuse registration or cancel any account that we determine (in our sole discretion) is in violation of these Terms or poses any risk to the security or integrity of the Platform. In certain cases, especially when you seek to use token-related features or reach significant reward thresholds, ZOOP may require you to undergo additional verification procedures. You agree that we may require you to provide proof of identity or other documentation (e.g. government-issued ID, proof of residence) to verify your account, and that we may disable some or all features of your account until verification is completed. This helps us comply with Know-Your-Customer (“KYC”), Anti-Money Laundering (“AML”) or other legal requirements, and to ensure a safe, human-only community, as we are committed to. 

If you wish to register as a Creator, you must complete all additional onboarding steps, including identity verification and background screening, as described in our Creator Guidelines. ZOOP may deny or revoke Creator status if these steps are not satisfactorily completed.

4. Account Security and Credentials. You are responsible for preserving the confidentiality and security of your account credentials. You must keep your login information (passwords, private keys for wallets or other authentication means) secure and not share them with any third party. If you believe that your account has been compromised or accessed without authorization, you must notify ZOOP immediately.

You are responsible for all activities that occur under your account, whether or not authorized by you. ZOOP will not be liable for any loss or damage arising from unauthorized use of your account (for example, if someone accesses your account and misuses your Points or tokens), but you may be held liable for losses incurred by ZOOP or others due to such unauthorized use. We encourage you to use strong passwords, enable any available two-factor authentication (“2FA”), and take other measures to protect your account.

Your account is personal to you. You may not sell, transfer, or assign your account or any account rights to any other person without our prior written consent. Likewise, you may not use anyone else’s account at any time. The User account is intended to represent a real individual or authorized entity; you agree not to create accounts using false identities or on behalf of others who have been banned or who do not meet the eligibility requirements.

If you do permit someone to assist in operating your account, you remain fully responsible for all actions taken and compliance with these Terms.

5. User Conduct and Prohibited Activities. As a condition of using the Platform, you agree to abide by the following rules of conduct. You are solely responsible for your behavior and any Content you post or share on ZOOP.

You agree that you will not, under any circumstances:

a. Violate any Laws: Use the Platform for any unlawful purpose or in violation of any local, state, national or international laws or regulations. This includes not using the Service to conduct or facilitate any illegal transactions, fraud, money laundering, terrorist financing or other unlawful financial activity.

b. Misuse the Rewards System: Engage in any deceptive, fraudulent or manipulative activity with respect to ZOOPIES, ZOOP Points or ZOOPCoin. You will not use bots, scripts, click-farms, fake accounts or any automated or artificial means to generate engagement on the Platform to earn ZOOPIES. All engagement must be genuine and human-driven. Any form of fake engagement, collusion or circumvention of the reward mechanics is strictly forbidden. You also agree not to create multiple accounts or coordinate with others to manipulate the rewards system. 

c. Impersonation and Misrepresentation: Impersonate any person or entity or falsely state or misrepresent yourself (including your identity, credentials, affiliations or the origin of any Content you post). This includes not claiming to represent ZOOP without authorization. Parody accounts should be clearly identified as such to avoid confusion. 

d. Spam and Malicious Activity: Post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, pyramid schemes or any other form of solicitation. You will not use the Platform to distribute malware, virus, Trojan horses, spyware or any other harmful computer code or programs that could damage or interfere with the Platform or other users’ devices or accounts.

e. Harassment and Hateful Conduct: Post or engage in Content that is harassing, bullying, threatening or encourages violence or hate against any individual or group. This includes any Content that is defamatory, libelous or that advocates bigotry, racism, hatred or harm against any group or individual.

f. Obscene or Illegal Content: Post any Content that is pornographic, sexually explicit or excessively graphic in a way that violates applicable law or the Platform’s community guidelines or standards. You also agree not to post any Content that involves the exploitation or abuse of minors (which will be removed and reported to the authorities) or any other illegal subject matter.

g. Privacy Violations: Post private or personal information of another person (such as images, videos, personal data, phone numbers, addresses or financial information) without that person’s consent. Doxxing (malicious outing of someone’s personal details) is forbidden. Respect the privacy of others.

h. Intellectual Property Infringement: Upload or share Content that you do not have the right to share. This means you will not post any content that infringes or violates the intellectual property rights of others, including copyrights, trademarks, patents, trade secrets or publicity/privacy rights (See Section 13 for more detail on Content standards).

i. Interference within the Platform: Use any manual or automated means to access, scrape, monitor or copy any part of the Platform, or to extract data, in a manner not authorized by us. You will not interfere with or disrupt the proper functioning of the Platform or any activities conducted on the Platform, or bypass any measures we use to secure or restrict access to the Service. This includes not attempting to hack, destabilize or adapt the Platform or its underlying software.

j. Multiple Accounts or Evasion: Create additional accounts after being suspended or banned, without our permission. You will not use any technique to avoid, bypass or circumvent any account limitations or filters that have been placed on you (such as a block or ban).

k. Tag misuse or community rumor-mongering: Do not misuse platform features (hashtags, tags) or spread unfounded rumors intended to sow fear, uncertainty or doubt within the community. Healthy discussion and critique are welcome, but deliberate misinformation or panic-inducing posts are strictly forbidden.

Failure to comply with the above rules constitutes a serious breach of these Terms and may result in immediate action against you, including content removal, reset or forfeiture of ZOOPIES, ZOOP Points or ZOOPCoin, suspension or termination of your account and/or legal action as appropriate (See Section 6 below). ZOOP reserves the right to investigate any alleged violations and, at our own sole discretion, determine appropriate action.

We also reserve the right to involve and cooperate with law enforcement authorities in prosecuting Users who violate law via the Platform.
6. Suspension and Termination of Accounts. ZOOP may, at its sole discretion and without prior notice, suspend, restrict or terminate your account (or access to certain features of the Platform) if we believe that you have violated these Terms or any applicable law or if we suspect fraudulent, abusive or suspicious activity. We may also suspend or terminate your account for other reasons, including prolonged inactivity, at the request of law enforcement or other government agencies, or due to technical or security issues.

  • Suspension: A suspended account is temporarily disabled. You may not be able to log in or use some or all features of the Platform during a suspension. We generally notify Users of the reason for suspension and the length (if not indefinite), but we are not obligated to do so in every case. If your account is suspended, you should contact support for information on any steps needed to potentially reinstate it. Note that during suspension, you may lose the ability to earn or use ZOOPIES or ZOOP Points or to participate in token distributions.
  • Termination by ZOOP: If we terminate your account, this means the account is permanently closed. You will no longer have access to the account, your profile, your accumulated Points, or any Content stored on the Platform under that account. Any unredeemed ZOOPIES or ZOOP Points in a terminated account may be forfeited at our discretion (especially if termination was due to misconduct or violation of these Terms). If you have already received ZOOPCoin into your personal crypto wallet prior to termination, those tokens remain in your custody; however, you may lose access to further Platform benefits tied to those tokens (such as staking or governance features). Termination of an account does not preclude us from taking further legal action for misconduct, nor does it entitle you to any compensation for lost rewards or content.
  • User-Initiated Termination: If we terminate your account, this means the account is permanently closed. You will no longer have access to the account, your profile, your accumulated Points, or any Content stored on the Platform under that account. Any unredeemed ZOOPIES or ZOOP Points in a terminated account may be forfeited at our discretion (especially if termination was due to misconduct or violation of these Terms). If you have already received ZOOPCoin into your personal crypto wallet prior to termination, those tokens remain in your custody; however, you may lose access to further Platform benefits tied to those tokens (such as staking or governance features). Termination of an account does not preclude us from taking further legal action for misconduct, nor does it entitle you to any compensation for lost rewards or content.

ZOOP will make a good-faith effort to notify you of the reason for any termination or suspension, either through the Platform or via email that is associated with your account, except when we are prohibited by law or security reasons from doing so. However, ZOOP is not liable for any consequences of account suspension or termination, including any loss of Content or rewards you might experience. If you believe your account was wrongfully suspended or terminated, you may contact our support to request a review, but we make no guarantee of reinstatement.

If the Platform is discontinued or ceases operations entirely, all accounts must be terminated. In such an event, we will endeavor to provide advance notice to Users and may (but are not obliged to) provide a final opportunity to redeem or withdraw any remaining rewards or tokens if feasible (subject to legal and practical considerations). Further details on modification or discontinuation of the Service are in Section 21.

7. Account Deletion, ZOOP Points and ZOOPCoin

7.1. User-Initiated Account Deletion. ZOOP provides a Self-Service account deletion option. You may request to permanently delete your ZOOP account at any time through your account settings. Before ZOOP processes your deletion request, you must ensure your ZOOP wallet has a zero (0) balance of ZOOPCoin, and no active locks or stakes present.

  • You are responsible for withdrawing all ZOOPCoin to an external wallet or exchanging and withdrawing the proceeds. 

7.2. Self-Service Account Deletion Conditions. If you attempt account deletion through the Self-Service feature:

  • The Self-Service deletion function will automatically reject your deletion request if your account holds ZOOPCoin or staked/locked assets.
  • You must manually withdraw or unstake/unlock your ZOOPCoin prior to re-attempting deletion. 

7.3. Unclaimed or Abandoned Tokens. If, under exceptional circumstances (namely, account suspension, prolonged inactivity or technical errors), ZOOPCoin remain in an account that becomes inaccessible or inactive for a substantial period of time, as defined by applicable law:

  • ZOOP will securely hold such unclaimed ZOOPCoin in custodial storage for a period of up to five (5) years, or such other period as required by applicable law.
  • During this statutory period, you (or your legal representative) may contact ZOOP customer support to reclaim your assets, subject to applicable identity verification and legal requirements.
  • Following the expiration of this statutory holding period, ZOOP will handle unclaimed or abandoned ZOOPCoin according to relevant unclaimed property laws, regulations or internal policies, accordingly, which may include transferring such tokens to appropriate regulatory authorities or permanently forfeiting them.

7.4. ZOOP Points. ZOOP Points are internal rewards with no external monetary value. Upon account deletion, you explicitly acknowledge that:

  • All ZOOP Points are permanently deleted.
  • You have no rights to compensation, conversion or reimbursement for ZOOP Points once deleted.

7.5. Data Retention Following Deletion. Upon account deletion, ZOOP will delete or anonymize your personal data within thirty (30) days from active systems, except where retention is mandated by applicable (accordingly with Privacy Policy). Residual personal data in backups or archives may remain for up to ninety (90) days after deletion before complete removal.

7.6. Confirmation and Irreversibility. You expressly acknowledge and accept that account deletion is permanent and irreversible, and ZOOP bears no responsibility or liability for losses resulting from failure to withdraw ZOOPCoin or redeem ZOOP Points before deletion.

7.7. Account Deletion Request Handling Process. You may request permanent deletion of your ZOOP account directly through your account settings using ZOOP’s Self-Service feature, as explained in Sections 7.1 and 7.2 above. You must ensure all ZOOPCoin is withdrawn, unstaked, and unlocked prior to account deletion. Before processing your deletion request, you will be explicitly prompted to confirm whether you have any active subscriptions or pending transactions: active subscriptions must be canceled or expired prior to account deletion; pending transactions must be finalized or explicitly canceled by you before deletion can be processed and note that any transaction not completed within fifteen (15) minutes will automatically fail. ZOOP reserves the right to perform additional identity verification checks if there’s a reasonable suspicion of fraud, unauthorized requests, or for compliance with applicable laws and regulatory obligations. In such cases, ZOOP may request additional information or documentation to confirm your identity or validate your request before completing account deletion.

7.7.1. Customer Support Assisted Account Deletion. If, for any reason, the Self-Service account deletion feature does not function correctly, or you encounter technical difficulties preventing completion of the deletion request, you may directly contact ZOOP’s Customer Support (“CS”) team via the registered email address associated with your account.

  • Identity Verification via Customer Support: To protect your security, ZOOP will require you to verify your identity by providing your registered email address, username, and potentially additional information or documents, depending on circumstances, to confirm the authenticity of your request.
  • Active Subscriptions and Pending Transactions Check: You will be explicitly asked whether your account has active subscriptions or pending transactions
    • You must confirm cancellation or expiration of any active subscriptions;
    • Any pending transaction in your account must either complete successfully or be canceled explicitly by you. Any transaction lasting longer than fifteen (15) minutes will automatically fail.
  • Acknowledgement and Processing Timeline: Upon successful verification of your identity and confirmation that there are no active subscriptions or pending transactions, ZOOP will promptly acknowledge your request and confirm the timeline for processing, typically within thirty (30) days. You will receive explicit confirmation once the deletion process is complete.

7.7.3. Irreversible Consequences of Account Deletion. You explicitly acknowledge and accept that account deletion, whether initiated via Self-Service or Customer Support, is permanent and irreversible. Upon completion of the deletion process:

  • You permanently lose access to your profile, personal data, messages, posts, and all user-generated content.
  • ZOOP Points associated with your account will be permanently deleted without any right to compensation or recovery.
  • ZOOPCoin not withdrawn prior to account deletion will become permanently inaccessible and irrecoverable.

7.7.4. Data Retention Following Deletion. Following account deletion, ZOOP will promptly delete or anonymize your personal data within thirty (30) days from active systems, except where retention is required by applicable laws, regulations, or ZOOP’s Privacy Policy. Residual personal data in backups or archives may persist for up to ninety (90) days after deletion before full removal.

7.7.5. Retained Data for Compliance and Legal Obligations. ZOOP may retain certain personal data after account deletion to comply with legal obligations, regulatory requirements (including AML/KYC regulations), fraud prevention, and audit purposes. Data retained typically includes:

  • Identity verification documents and related personal identifiers;
  • Transaction history and associated data

Such retained data will be securely encrypted, pseudonymized, and strictly access-controlled, held for the duration mandated by applicable law (usually five (5) years).

7.7.6. Completion Confirmation and User Notification. ZOOP will notify you explicitly via email or another suitable communication method once your account deletion is completed. This communication will clearly inform you of any retained data, the reasons for its retention, and the legal basis.

7.7.7. Internal Record-Keeping and Auditing. ZOOP maintains secure internal records of all account deletion requests and associated actions strictly for compliance, regulatory reporting, auditing purposes, and internal accountability, in accordance with applicable data retention laws and ZOOP internal policies.

8. Creator Shop and Subscriptions. ZOOP’s Creator Shop empowers creators to monetize their experience and unique content directly through ZOOP. Creators may offer exclusive content, personalized services and subscriptions to enhance fan-based relationships and maximize earnings.

8.1. Creator Shop Features: 

  • Exclusive Content: Creator may provide personalized locked content, accessible only after purchase.
  • “Ask Me Anything” (AMA): Users may request personalized, one-time responses from Creators in text, audio or video formats.
  • Video Calls: Users can schedule interactive one-on-one video calls with Creators.
  • Ticketed Events: Creators may sell access to live events, workshops or webinars.

Creators set pricing, manage content offerings and handle delivery independently, subject to ZOOP guidelines.

8.2. Creator Subscription: Creators can offer subscriptions providing exclusive and recurring benefits. Creators define the subscription name, benefits, pricing structure (monthly or yearly), and manage subscription offerings.

8.3. User Responsibilities and Purchases: Users purchasing content, services or subscriptions must comply with creators’ terms, pricing and guidelines. Users acknowledge all purchases are final unless explicitly stated otherwise by the creator. Refund requests and disputes must initially be resolved directly with the creator, although ZOOP may ultimately intervene if deemed necessary. 

8.4. Content Moderation: ZOOP implements a streamlined moderation process to monitor public Creator content and promptly address flagged issues. Creators and Users agree to adhere to ZOOP’s Community Guidelines. ZOOP reserves the right to remove or restrict access to any content or service deemed inappropriate or violating these Terms.

8.5. Liability and Disclaimer: ZOOP does not guarantee the quality, accuracy, legality or reliability of content, products or services provided by Creators. Transactions and interactions are solely between Users and Creators, and ZOOP expressly disclaims any responsibility for user dissatisfaction, losses, or disputes arising from purchases or subscriptions.

III. Rewards System: Points and Tokens

9. Earning ZOOPIES (Engagement Rewards). ZOOP rewards genuine user engagement with ZOOPIES, which are points automatically earned by Users for multiple eligible activities on the Platform. Eligible activities include, for example, logging in daily, creating posts, reacting to content (liking, commenting, sharing), and other contributions that foster a vibrant community. ZOOP may display on your profile or dashboard the amount of ZOOPIES you have accumulated.

Important features of ZOOPIES:

  • No Cash Value and Non-Transferability: ZOOPIES are loyalty rewards only. They are not cryptocurrency or money and you cannot redeem ZOOPIES directly for cash or any off-platform value. ZOOPIES cannot be bought, sold or transferred to other users. They exist solely within the Platform’s database to track your engagement level.
  • Personal Use Only: You earn ZOOPIES for your own activity. Attempting to pool, aggregate or transfer Points between accounts (or acquiring Points from others) is not allowed. Likewise, any attempt to trade ZOOPIES outside the Platform is a violation of these Terms.
  • Earning Rates: The Platform may assign different point values to different actions and may cap the points that can be earned in a given period for certain activities. ZOOP reserves the right to adjust how Points are earned (e.g., to incentivize certain behaviors or during promotional events) at any time. Occasionally, ZOOP might offer bonus ZOOPIES for particular campaigns or introduce multipliers (e.g., earn double points during a special event). These opportunities, if any, will be duly communicated through the Platform.
  • Validity and Expiry: ZOOPES are generally maintained as long as your account is active. However, the Platform operates on seasonal or periodic reward cycles. Typically, at the end of a cycle (for example, a calendar season or a set campaign period), accumulated ZOOPIES will be eligible for conversion into ZOOP Points (as described in Section 8 below). After such a conversion event, your ZOOPIES balance for the new period may reset to zero. ZOOP will inform users about the timing of conversion periods and apart from scheduled resets, ZOOPIES do not expire on an active account. If your account is terminated or inactive for an extended period, any accumulated Points may be forfeited at our discretion.
  • Fraud Prevention: ZOOP monitors user activity for patterns that suggest abuse of the point system. If we determine that any ZOOPIES were earned through fraudulent or prohibited means (for example, via bots, fake engagement, exploitation of bugs or violating Section 5 rules), we reserve the right to invalidate those Points, adjust your balance or suspend/terminate your account. We may also withhold or delay conversion of such Points into ZOOP Points pending investigation. Our decisions on point forfeiture are final and made to preserve fairness and the integrity of the rewards program.

Earning ZOOPIES is meant to be a fun and fair way to reward your participation and your engagement. While we encourage enthusiastic engagement, please always follow the Platform rules. ZOOPIES are a privilege, not a right, and ZOOP can adjust or revoke ZOOPIES’ earnings at its discretion in line with these Terms.

10. ZOOP Points (Conversion and Intermediate Rewards). ZOOP points are the next stage in the rewards process and they are obtained by converting your ZOOPIES during designated conversion periods. Typically, at the end of a season or a reward cycle, the Platform will allow Users to convert the ZOOPIES they accumulated into ZOOP Points. The exact timing and frequency of conversion periods will be determined by ZOOP and communicated in advance.

Key details about ZOOP Points:

  • Conversion from ZOOPIES: When a conversion window opens, ZOOP will calculate each participating User’s entitlement of ZOOP Points based on their ZOOPIES and the conversion rate. The conversion rate (i.e., how many ZOOPIES are required to get 1 ZOOP Point) may be fixed or variable. ZOOP may set a conversion formula that takes into account overall platform activity, total points in circulation or promotional multipliers (during certain campaigns, we might offer a more favorable conversion rate as a bonus to Users). We will announce the applicable conversion rules ahead of time. You understand that conversion rates can vary and that no specific rate is guaranteed for future periods.
  • One-Way Conversion: Converting ZOOPIES to ZOOP Points is typically a one-way process: once your ZOOPIES have been converted to ZOOP Points, the corresponding ZOOPIES balance will be deducted or reset for the new cycle. You cannot revert ZOOP Points into ZOOPIES. This mechanism is to progress rewards towards eventual token redemption.
  • Accumulation of ZOOP Points: ZOOP Points will accumulate in your account over time as you participate in multiple conversion cycles (unless or until you redeem them for ZOOPCoin). ZOOP Points themselves currently cannot be directly spent or used in the Platform except for conversion into ZOOPCoin (or possibly for certain limited in-app benefits at a later stage, if we introduce such features). They primarily serve as a ledger of how much token credit you have earned.
  • No Inherent Monetary Value: Like ZOOPIES, ZOOP Points do not have inherent monetary value. They are a form of internal deferred reward. While ZOOP Points are ultimately expected to be redeemable for ZOOPCoin, they are not actual blockchain tokens and cannot be transferred out of the Platform. They exist in your user account. ZOOP Points are non-transferable between users and cannot be sold or exchanged except through the official conversion to ZOOPCoin as allowed by ZOOP.
  • Redemption for ZOOPCoin: After the official Token Generation Event (“TGE”), when ZOOPCoin is officially launched (or at other times as determined by the Company), Users will be able to redeem their accumulated ZOOP Points for ZOOPCoin. The conversion of ZOOP Points to actual ZOOPCoin will follow procedures and rates announced by ZOOP. We anticipate that one (1) ZOOP Point will convert to one (1) ZOOPCoin at TGE (subject to any adjustments) but note that ZOOP reserves the right to adjust the redemption rate or impose conversion caps or limits to ensure fairness and compliance with regulations. We will communicate how and when you can swap your ZOOP Points for actual tokens. Conversion likely will occur via an in-app process or claim mechanism. You may be required to link a compatible crypto wallet to receive the ZOOPCoin.
  • Conditions and Limitations: Redemption of ZOOP Points for tokens might not be available to all Users (particularly those in restricted jurisdictions as per Section 3). ZOOP may require additional verification or impose specific conditions, such as agreeing to separate token terms or passing KYC checks, before allowing a User to claim ZOOPCoin. If you fail to meet these requirements, you might be unable to redeem your ZOOP Points and they could remain in your account until conditions are met or ZOOP decides an alternative outcome.
  • No Guarantee of Token Issuance: While the goal of the Platform is to reward Users with ZOOPCoin via Points system, ZOOP does not guarantee that ZOOP Points will ultimately be convertible into ZOOPCoin. Various factors, including regulatory considerations or business decisions, could impact the token launch. The Points are provided as part of your loyalty program in good faith, but they are gratuitous and promotional in their essence and nature. In the unlikely event that ZOOPCoin is not launched or the conversion program is discontinued, any ZOOP Points you have accrued may be nullified or converted in an alternative reward (at ZOOP’s discretion) with or without notice. You agree that you will not assert any claim or entitlement against ZOOP for any unissued tokens related to your Points, except to demand the conversion that is offered according to the then-current program standards and rules.
  • Modification of Program: ZOOP reserves the right to modify or terminate the ZOOPIES and ZOOP Points reward program at any time, with duly previous notice. This can include changing the rate at which points are earned, the frequency of conversion periods, the conversion rates into ZOOP Points or ZOOPCoin, or discontinuing the issuance of Points entirely. We will do our best to notify Users of any major changes to the rewards system. However, continued use of the Platform after any changes means you accept those changes (See Section 21 regarding changes to terms/program).

ZOOP Points serve as the loyalty balance that will allow you to obtain ZOOPCoin. Treat them as a reward for your engagement, not as a guaranteed financial asset. Continue to follow the rules, standards and engage authentically to maximize your rewards over time.

11. ZOOPCoin Network Utility Token. ZOOPCoin ($ZOOP) is the core network utility token of the ZOOP social network. It is designed to empower Users and Creators by enabling various platform utilities, not as an investment vehicle. By earning or acquiring ZOOPCoin, you agree to the following terms regarding its nature and use:

  • Utility Purposes: ZOOPCoin’s primary intended uses include (but are not limited to) accessing premium features on the Platform, participating in community governance (Section 15), staking for loyalty rewards (Section 10), benefiting from a portion of the Platform’s external advertising revenue pool (Section 11) and facilitating creator-centric economies (e.g. supporting creators or purchasing digital collectibles). Holding ZOOPCoin may unlock additional utility benefits on the Platform, however, holding ZOOPCoin does not confer any ownership interest, equity or legal claim in the Company or its assets. Tokens are not shares of stock, but digital units for using services.
  • Token Issuance and Distribution: ZOOPCoin will be issued (minted) on a blockchain network in a fixed or predictable supply as described in our official documentation. Some portion of ZOOPCoin is allocated for distribution to Users as rewards through the Points conversion system, to Creators and possibly for other ecosystem needs. Details of total supply, allocations and tokenomics may be provided separately in a ZOOPCoin policy. ZOOP may conduct an initial distribution event (e.g. TGE) and any such event may be subject to separate terms or require user action to claim tokens.
  • Not an Investment and No Expectation of Profit: You acknowledge and agree that ZOOPCoin is not being offered to you as an investment and that you have no expectation of profit or revenue as a holder of the token except through the token’s utility on the Platform (for example, increased usage rights or a proportional slice in external ad revenue if you stake, as described later). Any increase in the market value of ZOOPCoin over time would be incidental to its usage and adoption; ZOOP makes no promises regarding its market value. The Company does not promote ZOOPCoin as having profit potential. There is no guarantee that ZOOPCoin will hold any particular value or that it will be able to sell or trade it for a profit. The token’s value may be volatile and could even be zero. You should be conscious that you will acquire and use ZOOPCoin only for the intended utility participation in the Platform’s ecosystem and not for speculative purposes.
  • No Security or Legal Status: ZOOPCoin is a network utility token and is not intended to be a security, commodity or any other regulated financial instrument. Ownership of ZOOPCoin does not entitle you to dividends, interest or any form of recurring revenue from the Company, nor any rights to the Company’s profits or management decisions. While staking tokens can yield rewards (Section 11), those rewards are a result of distribution of platform usage benefits (like a loyalty program), not a return on investment. By using the Platform and accepting tokens, you agree that ZOOPCoin is not being acquired for resale or distribution, and not for any investment, speculative or illegal purpose. We make no representations that ZOOPCoin will satisfy any legal test for a security or not; we have designed it as an utility, and your acceptance of it confirms you understand this qualification and feature.
  • External Trading and Wallets: After you receive ZOOPCoin (for example, by redeeming Points), it will reside in your personal cryptocurrency wallet outside the Platform’s direct control. You may be able to transfer or trade the token on third-party exchanges or platforms (if and when ZOOPCoin is listed or made available on such exchanges). Any trading or transfer of ZOOPCoin outside of the official Platform environment is solely at your own risk. ZOOP will not facilitate nor be responsible for any transactions of ZOOPCoin on the open market. We do not control secondary market prices or availability. You are responsible for complying with all laws applicable to buying, selling or transferring ZOOPCoin, including any securities or commodities laws, export controls, tax laws and so forth. We strongly advise that you exercise caution and perhaps consult a financial advisor before engaging in any secondary trading of tokens.
  • Token Storage and Security: It is your responsibility to securely manage any crypto wallet that holds your ZOOPCoin. ZOOP may offer an integrated wallet or custody solution for convenience, but by default, once tokens are delivered to you, you are responsible for safeguarding your private keys and tokens. ZOOP is not liable for any loss of tokens due to loss of private keys, mistaken transactions, wallet hacks or user negligence. We advise you to research your own use of well-known wallet providers and enable security features like hardware wallet where possible. 
  • Regulatory Compliance: ZOOPCoin has been structured to comply with relevant laws and regulations to the best of the Company’s knowledge. However, the regulatory landscape for digital tokens is evolving. ZOOP may restrict or prohibit token distribution or certain functionalities in some jurisdictions (as noted in Section 3) to remain compliant. Additionally, ZOOP may require token recipients to make certain representations or warranties (for example, that you are not a U.S. person for the purpose of token distribution, if applicable, or that you will not resell tokens in a way that violates securities laws). You agree to provide any such assurances and comply with any procedures we implement to meet legal requirements. The Company may, in extreme cases, cancel or claw back token distributions if required by law or regulator mandate.
  • Taxation: Any value you receive from ZOOPCoin may be considered taxable. You are solely responsible for reporting and paying any taxes arising from your holding or use of ZOOPCoin, in accordance with your local laws. ZOOP does not provide tax advice and you should consult with a tax professional if you are unsure of your obligations.
  • No Monetary Claims: Except for the redemption of ZOOP Points for ZOOPCoin as described, holding ZOOPCoin does not entitle you to claim any money or guaranteed benefit from the Company. The token’s utilities (staking, governance, among others) are the sole “benefits” of holding it. If the Platform discontinues or if the tokens lose functionality, Users will not be entitled to any refund, compensation or any replacement value from the Company (except as might be provided at the Company’s discretion or required by law).

ZOOPCoin is meant to be the pulse of the Platform’s ecosystem, combining the interests of Users, Creators and the platform itself. Use it to engage, stake and participate, not as a vehicle of speculation. By proceeding accordingly with the Platform’s token features, you acknowledge and accept the risks and rules associated with digital tokens as outlined above and in Section 17 (Disclaimers).

12. Staking and Loyalty Tiers Program. ZOOP offers a Loyalty Tiers program that allows users to stake their ZOOPCoin to unlock multiple benefits and recognition on the Platform. Staking is completely optional but provides meaningful rewards to committed and active community members. The program is designed to be value-based and inclusive, meaning tier requirements are defined using internal points benchmarks that correspond to standardized internal reference values, ensuring tiers main stable and accessible irrespective of any token price fluctuations. 

12.1. Loyalty Tiers and Requirements:

  • Basic: No staking required. Every verified User on the Platform starts at the Basic tier by default.
  • Silver: Requires staking internal platform points at a benchmark corresponding internally to an approximate standardized reference value of $10,000 USD
  • Gold: Requires staking internal platform points at a benchmark corresponding internally to an approximate standardized reference value of $25,000 USD
  • Platinum: Requires staking internal platform points at a benchmark corresponding internally to an approximate standardized reference value of $50,000 USD
  • Centurion: Requires staking internal platform points at a benchmark corresponding internally to an approximate standardized reference value of $100,000 USD

The exact amount of ZOOPCoin required to achieve each tier will be determined by ZOOP based on an internal standardized benchmark. ZOOP may periodically adjust these ZOOPCoin requirements to ensure the tiers remain consistent with their internally defined reference standards. For example, if significant fluctuations occur in external reference values used internally, ZOOP may update the number of ZOOPCoin corresponding to a standardized internal reference (such as the approximate equivalent of $10,000 USD). ZOOP will clearly communicate any adjustments to tier requirements. Additionally, as the ZOOP ecosystem evolves, tier structures and their respective ZOOPCoin benchmarks may change. Any changes to tier requirements will not immediately remove an existing user’s tier status; instead, ZOOP may, at its discretion, allow grace periods or maintain your current tier status if previously attained. To attain new tiers, however, users must fulfill the ZOOPCoin requirements in effect at that specific time. 

12.2. Staking Mechanics: To achieve a tier above Basic, you must commit (stake) the required amount of ZOOPCoin through the Platform’s staking interface. When you stake tokens:

  • Your tokens are transferred into a staking contract or custodial mechanism managed by the Platform. You retain ownership of staked tokens, but you will not be able to transfer or use them until you unstacked (after the lock period).
  • You will typically be offered a choice of lock-up duration of your stake. Current options are 1 month, 3 months, 6 months or 12 months. You may choose a longer lock period in exchange for greater benefits (explained below). Once staked, you cannot withdraw your tokens until the selected period ends, except possibly with a penalty if we allow early withdrawal, but as of now, staked tokens are meant to remain locked for the full term).
  • After the lock period, you can withdraw your tokens (unstake) or choose to roll them over into a new stake. If you withdraw and it drops your staked amount below a tier’s requirement, you will lose that tier status (after any applicable grace or immediately if no grace period is provided).
  • ZOOP may impose a short processing time after a lock expires to enable unstaking for security or technical reasons and we will inform you if so. 

12.3. Tier Benefits: By staking and reaching a Loyalty Tier, you unlock various benefits which increase at higher tiers. While exact perks may change or expand, the current structure of benefits includes:

  • Basic (no stake): Ability to earn ZOOPIES through normal engagement and access to standard Platform features (posting, commenting, liking, following creators). Basic users can convert ZOOPIES to ZOOP Points during conversion windows, though they do not get any staking bonus or special perks.
  • Silver: All Basic benefits, plus approximately +10% boost to ZOOPIES earning rates (Silver members earn points slightly faster for their activities than Basic members, as a loyalty bonus); priority visibility for your comments in creators’ comment sections (your contributions are more likely to be highlighted or appear towards the top); and a Silver loyalty badge on your profile indicating your status in the community.
  • Gold: All Silver benefits, plus a larger +25% boost to ZOOPIES earning rates (replacing the 10% boost with 25% at Gold level); access to exclusive or limited-edition digital collectibles or NFTs offered on the Platform (Gold and above may get early or exclusive access to certain drops of digital merchandise); early access or priority invites to selected creator events or platform-wide events (e.g. beta features, AMAs with top creators); and reduced fees on certain Platform transactions, e.g. if the Platform has transaction fees for marketplace trades or other services, Gold members get a discount.
  • Platinum: All Gold benefits, plus the maximum +50% boost to ZOOPIES earning rates (Platinum members earn points at double the base rate of Basic users); governance participation rights, as Platinum members are given the ability to actively participate in Platform governance (See Section 15) such as proposing or voting on certain utility platform changes or new features; first access to Creator “drops” or collaborations (e.g. if a top Creator releases a new NFT or product, Platinum members may have first purchase rights); a premium support device, with faster response times and dedicated support channel for Platinum members); and advanced analytics or insights about your engagement and performance on the Platform to help you understand and optimize your activity.
  • Centurion: All Platinum benefits, plus highest-level unique perks such as personalized profile embellishments and recognition, with Centurion badge, possibly custom profile themes or an NFT avatar frame signifying your top-tier status); opportunities for direct connection with the ZOOP team and Creators, such as invitations to private events, meet-and-greets or one-on-one sessions with high-profile Creators or platform leadership); inclusion in platform development councils or advisory panels – Centurion members may be consulted or get to give direct input on future features as part of an elite user council; and special loyalty rewards or experiences that are not available to lower tiers (for example, exclusive merchandise, travel invitations to ZOOP conferences). Centurion tier is intended to recognize the most committed and supportive members of the community with bespoke rewards.

The above is a summary and illustration of typical benefits. ZOOP reserves the right to modify, enhance or discontinue any specific benefit at any time. Benefits are provided on a best-effort basis, while we intend to deliver unique value to our loyal users, circumstances, such as availability of creators or changes in platform strategy, might affect certain offerings. There is no cash or token substitute for any benefit that is experiential or access-based.

12.4. Staking Rewards: In addition to the tier-specific perks, staking ZOOPCoin makes you eligible for certain rewards:

  • External Ad Revenue Portion: As detailed in Section 11, Users who stake tokens are eligible to receive a portion of the Platform’s community external ad revenue pool. All else equal, a higher tier (i.e., more staked tokens, longer duration) means a larger portion of that pool.
  • Enhanced Point Conversion: Staking might also improve your conversion efficiency of Points. For instance, ZOOP may implement that users in higher tiers get a slightly better conversion rate from ZOOPIES to ZOOP Points, or bonus ZOOP Points during conversion, as a reward for their commitment.

Important Notes on Staking:

  • Risks: Staking ZOOPCoin involves locking your tokens, which means you will not have liquidity of those tokens for the duration of the stake. You acknowledge that during this time the market value of the token may change, and you won’t be able to react to market events by selling staked tokens. Additionally, while staked, your tokens are held by the Platform’s smart contract and we will take precautions to secure the staking contract, but as with any smart contract, there is a risk of software bugs or vulnerabilities. By staking, you accept these risks. ZOOP is not responsible for losses due to unforeseen contract vulnerabilities or attacks, except as required by law or explicitly provided in a separate staking agreement.
  • No Interest or Guarantee: Staking is not a deposit account and you do not earn interest, in the traditional sense. You earn active loyalty rewards and a chance to potential external ad revenue distribution, but there is no guaranteed return on the tokens you stake. The value of benefits, such as extra Points or external revenue portions, is variable and does not represent or guarantee a specific financial return or yield.
  • Slashing (if any): Currently, ZOOP’s staking program does not include any “slashing” penalties, reducing a user’s staked tokens as a punishment, because the staking is for loyalty, not network validation. We simply mention that if you violate these Terms, we reserve the right to remove your tier benefits or even terminate your account, which indirectly means you’d have to withdraw (unstake) without having enjoyed the full intended benefits. We do not intend to confiscate any user’s actual staked tokens as a penalty, except possibly in extreme cases of malicious attacks on the platform’s blockchain infrastructure. 
  • Changes to Program: This Loyalty Tier program is subject to change as the ecosystem grows. ZOOP may introduce new tiers, rename tiers, change the required stake amounts or alter benefits. Major changes will be communicated and, where feasible, applied prospectively. However, by participating, you understand that no tier benefit is irrevocably guaranteed. The program may also be suspended or terminated in the future if necessary (See Section 21). In case of termination of the loyalty program, Users will be allowed to unstake their tokens and any unallocated rewards up to that point may be distributed or forfeited at ZOOP’s discretion.

Staking and Loyalty Tiers are meant to strengthen the partnership between ZOOP and its community. The more you commit to the ecosystem, the more recognition and rewards you earn, creating a win-win for all participants. We encourage you to stake responsibly and enjoy the additional features, though entirely voluntary on your side.

13. External Advertising Revenue Portion and Rewards Distribution. One of ZOOP’s pioneering features is the benefit from a portion of platform external advertising revenue with the community, both Creators and engaged Users. ZOOP allocates part of its advertising or platform revenue into community reward pools distributed regularly to active users and creators. These rewards encourage genuine community engagement and participation but do not constitute profit-sharing, equity interests or investment returns. We believe in a fair distribution of value: when the Platform earns external revenue from ads, a significant portion is redistributed to those who contribute most, namely, content creators and active users. This Section outlines how that works:

13.1. Revenue Pools: ZOOP will allocate portions of its external advertising revenue into two main pools on a regular basis (e.g., monthly):

  • The Creator Pool – designated for content creators on the Platform.
  • The User Pool – designated for the general user community (fans/participants).

Currently, ZOOP’s target model allocates 48% of total external ad revenue to the Creator Pool and 32% of total external ad revenue to the User Pool. The remaining 20% of external ad revenue is retained by ZOOP (the Platform). ZOOP reserves the right to adjust these percentages in the future based on business needs or community feedback, but any change will be transparently communicated and likely applied prospectively. We will not suddenly reduce community allocation without good reason and notice.

13.2. Eligibility for External Revenue Portion: To be eligible to receive a portion of the User Pool, you must:

  • Be an active, registered User in good standing, not suspended or banned, during the relevant period.
  • Stake ZOOPCoin on the Platform as described in Section 10. The external revenue portion program is designed to reward those who have a stake in the ecosystem’s success. If you have not staked any tokens, you generally will not receive a cut of the external ad revenue from the User Pool.
  • Meaningfully engage on the Platform during the period. While simply staking might technically qualify you, the spirit of the program is to reward active contributors. ZOOP may impose a requirement that a User must also have earned some ZOOPIES during the period to get a payout from the User Pool or may weigh the payout by your engagement level. This ensures that dormant token holders do not reap rewards without participating, as it is ZOOP’s core mission.

13.3. User Pool Distribution Formula: The amount you receive from the User Pool, when it’s distributed, is based on your proportion of “stake-weighted-engagement” relative to all participating users. In simple terms it means:

  • Each eligible user will have a certain “score” that combines the amount of ZOOPCoin you have staked on a multiplier based on your chosen stake duration, which together form your Staking Weight; optionally, the Platform may also factor in your earned ZOOPIES the engagement as part of the weighting to favor those who are not only staking but also actively using the app.
  • The Platform will calculate the sum of all users’ weights. Your portion of the User Pool equals the total User Pool amount multiplied by the ratio of your weight/total weight.

The specifics of calculation may evolve. Initially, the formula might be straightforward using only staked amounts and lock multipliers, given that engagement is already rewarded by earning tokens and ZOOP will ensure that the exact formula and factors used for revenue distribution is disclosed in a transparent and updated manner.

13.4. Creator Pool Distribution: While these Terms are primarily for Users, it is important to highlight the Creators, namely the fact that the 48% Creator Pool is distributed among content creators on the Platform using a similar principle, likely based on the engagement their content generated (e.g., ikes, shares) and possibly adjusted by their stake if Creators also stake or by other reputation metrics. If you are a content creator, you shall follow these User Terms as well. Generally, the more popular and engaging your content, the larger your portion of the Creator Pool.

13.5. Payout Mechanism: Distributions from the pools are likely made in ZOOPCoin. At a set interval, the Platform will calculate each eligible participant’s portion, which will then be made available for users to claim through their integrated web3 wallets or alternative claiming mechanisms provided by the Platform.

We will communicate the method of distribution and any minimum thresholds.

13.6. Conditions and Reservations: You will not receive a segment for any period in which you have violated the Terms. If you are banned or suspended during the payout calculation, ZOOP may disqualify you from that period’s distribution, even if you staked tokens. Similarly, if fraudulent activity is detected that boosted your engagement or weight, we can adjust or withhold your payout. ZOOP may cap the payout for an individual user if needed for regulatory reasons and if such cap is applied, any excess might be redistributed among others or retained by the Company.

There is no guarantee that there will be any benefit from a portion of external advertising revenue. If the Platform has no external ad revenue in a given moth, the pools would be zero. This is an external ad revenue portion program, not a promise of interest or returns. ZOOPCoin rewards are provided exclusively for use within the ZOOP ecosystem. The Company does not guarantee or imply any particular monetary or market value for ZOOPCoin, nor does it endorse, facilitate or promise the exchangeability of ZOOPCoin for fiat currency or other assets. Participation in the external revenue portion program does not create any employment, agency or partnership relationship between you and ZOOP.

By participating in the ZOOP Platform, you acknowledge this innovative reward mechanism and agree to any tax or legal implications it might have for you. You also understand that while we strive for fairness and a consistent model, the specifics may evolve and you will stay informed through our communications.

IV. User Content and Community Guidelines

14. User Content Ownership and License. ZOOP is a user-generated content platform, and we greatly appreciate the text, images, videos and other Content that you and others contribute. This Section explains how ownership and rights to that Content work:

  • Your Ownership: You retain all rights, title, and interest in and to the Content that you create and post on the Platform. ZOOP does not claim ownership of your original works. If you have an original video, photo, piece of writing, or any other creation that you post, it remains yours. These Terms do not transfer any intellectual property rights of your Content to us.
  • License to ZOOP:  In order for us to operate the Platform and provide services, you grant ZOOP a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify (for technical adaptations, e.g. resizing an image or transcoding a video), distribute, publicly perform, publicly display, and create derivative works of your Content solely for the purposes of operating, developing, providing, and marketing the Platform. This means, for example, we have your permission to display your posts to other users, to use copies on our servers to facilitate distribution, to show thumbnails or excerpts in promotional materials or social media (if we are showcasing popular content or user testimonials), and to make backups. If we were to create derivative works, it would generally be for functional reasons (like creating a blurred preview or translating content into different languages if necessary for other users). We will not sell your individual Content to third parties without your permission; this license is primarily to ensure our service can work and grow.
  • Sublicense and Partners: The sublicense portion means we can allow our affiliates, contractors, service providers, and partners to carry out these licensed uses on our behalf. Any such party will be bound by obligations to protect your rights as well.
  • License Duration: This license to your Content ends when you delete the Content from the Platform, with the following exceptions: (a) The Content may persist in certain backups. (b) If you shared your Content with others on the Platform and they have reposted it or it is otherwise re-shared, it may still be visible through those other users’ content streams. (c) If your Content was used in any promotional materials already created, we might continue to use those materials until they are refreshed or retired. However, we won’t newly use your deleted content in promotions after you delete it. (d) As noted below, due to the nature of blockchain and decentralized storage, if any of your Content is stored or mirrored on a public blockchain, we cannot retroactively delete or modify that public record.
  • Your Authority to Grant License: You promise that you have the necessary rights to post the Content you share and to grant the above license to us. If you are using third-party content, you must have permission from the owner, or the content must be in the public domain or under a license that allows your use. When you post any Content, you represent that doing so does not violate any rights of any other person or entity.
  • Feedback: If you provide us with any ideas, suggestions, or feedback about the Platform (“Feedback”), you acknowledge that we may use and implement that Feedback without any compensation or obligation to you. You grant us a perpetual, irrevocable, sublicensable license to use the Feedback in any way.
  • No Compensation for Content: Except for the earning opportunities described (like Points or ad revenue sharing), you understand that you will not automatically be paid for the Content you post on ZOOP. You post content to engage with your followers and the community, and any exposure or engagement you gain is your compensation unless separately agreed.

15. Community Content Guidelines and Moderation. We strive to make ZOOP a safe, respectful and creative space. To that end, we have certain content guidelines and standards. Many of these overlap with the rules in Section 5 (User Conduct), but here we clarify how we handle content specifically:

15.1. Prohibited Content: You may not post or share content that: 

  • Violates Law: Is illegal or encourages illegal activity (e.g., instructions for crime, terrorism, buying illegal drugs or weapons). This includes content that violates someone else’s intellectual property rights (copyright, trademark et al). Posting video content, music or images you do not have rights to is not allowed and will be removed if notified or discovered.
  • Sexually Explicit or Exploitative: Contains pornography or sexually explicit acts, especially any involving minors, which will be reported to authorities. Absolutely no content depicting child exploitation or any non-consensual sexual activity.
  • Hate Speech or Harassment: Attacks or uses slurs against a protected group, based on race, ethnicity, religion, gender, sexual orientation, disability or seriously harasses or threatens an individual. Critique and debate are fine; hate and personal threats are not.
  • Graphic Violence: Extremely graphic or violent content (gore) intended to shock or disgust. Contextual images may be allowed but could be blurred with a warning. Content that glorifies violence or encourages self-harm or harm to others is not allowed.
  • Misinformation/Illegal Services: Knowingly false information that could cause harm, like dangerous medical misinformation, or content promoting scams, fraud, phishing or illicit services, like providing fake IDs or hacking services.
  • Spam and Advertising: Mass commercial advertisements or repetitive spam posts that have no relevance to genuine social sharing. We will remove bulk unsolicited promotions.
  • Impersonation and Deceptive Content: Deepfakes or manipulated content presented in a misleading manner to impersonate or misinform about an actual person, especially in a harmful way. Parodies must be labeled clearly and any content that falsely claims to be from ZOOP or its team is forbidden.

15.2. Moderation Actions:  ZOOP uses a combination of automated systems and human moderators to enforce content standards. We may remove or restrict access to any Content that violates these Terms or that we, in our sole judgment, deem objectionable or inappropriate. We might apply labels or warnings to certain content rather than removing it, depending on severity and context.

15.3. User Reporting: Our Platform provides tools for Users to report content or behavior that they believe violates our Terms or community guidelines. If you see something that can match it, please report it. We will review reports and take appropriate action as soon as practicable. False reporting with malicious intent is itself a violation of these Terms.

15.4. Appeals: If your content is removed and you believe it was a mistake, you may have an option to appeal the decision through our support or moderation appeal process. We will review appeals.However, repeated posting of clearly violative content might result in losing the privilege to appeal or even account termination.

15.5. No Endorsement: Content posted by Users is not endorsed by ZOOP. We do not pre-approve content and cannot guarantee that all harmful content will be caught immediately. We are not responsible for user-posted content, but we will act to remove it once we are aware of any violations. You acknowledge that when using the Platform, you may encounter content that you find offensive or disturbing, and you use the Platform at your own risk in this regard.

15.6. Filtering and Blocks: We may filter or shadow-ban content in certain cases. We may also utilize age-gating on mature content. 

15.7. External Links: If you post external links or content that leads to other websites, ensure those destinations do not violate our standards. We may remove posts with malicious or prohibited links. ZOOP is not responsible for the content on third-party websites, and clicking on external links is at the user’s own risk.

By using ZOOP, you agree to follow these content standards and guidelines and abide by our moderation decisions.

16.  Intellectual Property on the Platform. While you own your Content, ZOOP and its licensors own all rights in the Platform itself and the collective content and design that make up the Service.

  • Platform Materials: All software, code, infrastructure, algorithms, user interface design, look and feel, databases, and compilations of content (such as the collection, arrangement, and assembly of user content), and all material created or provided by ZOOP, such as our logos, graphics, videos we produce, text we write in the app or website, and any content posted by our official account, are the property of ZOOP or its licensors. These are protected by copyright, trademark, and other intellectual property laws.
  • Trademarks: “ZOOP”, the ZOOP logo, and any other product or service names or slogans of ZOOP may be trademarks of ZOOP. You must not use our trademarks without our prior written permission. Likewise, you may not use any meta tags or other hidden text using our name or trademarks without permission.
  • License to Use the Platform: Subject to your compliance with these Terms, ZOOP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content for your personal, non-commercial use. This license is for the sole purpose of letting you use and enjoy the Service’s benefits as intended by ZOOP under these Terms. You shall not: (a) copy, modify, or create derivative works based on the Platform or any portion of it; (b) distribute, sell, resell, lease, rent, or otherwise exploit the Platform for commercial use not explicitly permitted; (c) reverse engineer, decompile, or extract source code from the software (except to the extent such restriction is expressly prohibited by law); (d) use the Platform’s content (other than your own) outside of the Platform without permission from the content owner or under some legal exception (like fair use).
  • Third-Party IP: If you believe that any Content on the Platform infringes your copyright, you may send us a notice requesting removal of the content with the following information: a description of the copyrighted work you believe is infringed, a description of the content on our Platform that is infringing (with URL or screenshot), your contact info, a statement that you have a good faith belief the use is not authorized, and a statement under penalty of perjury that your notice is accurate and you are the copyright owner or authorized to act on their behalf. Include your physical or electronic signature. We will respond promptly to notices that substantially comply with these requirements, consistent with the Digital Millennium Copyright Act (“DMCA”) or similar laws. We may remove or disable access to the content and notify the user who posted it. ZOOP respects intellectual property rights and will also terminate accounts of repeat infringers when appropriate.

We ask you, by providing freedom to create, share and engage on ZOOP, to respect our rights in the platform we built, and each other’s rights in what you each create. Unauthorized use of any part of the Platform not covered by these Terms or by any applicable law is a violation and may result in termination of your rights to use the Platform and possible legal action.

V. Community Governance and Feature Participation

17. Governance Participation Rights. ZOOP is not just a platform, it’s a community-driven project. Holders of ZOOPCoin may be given the opportunity to participate in certain governance or decision-making processes regarding the Platform’s future. Here’s how community governance works, being subject to change given the circumstances:

  • Governance Mechanism: The ZOOP ecosystem plans to activate community governance mechanisms, allowing ZOOPCoin holders to propose and vote on economic parameter adjustments within the Platform. Governance participation will be primarily related to economic and reward-related decisions, especially those affecting creators supported through staking. Voting power is likely to be proportional to the amount of ZOOPCoin staked in support of creators, reflecting the level of direct economic participation within the ecosystem.
  • Eligibility to Vote: Participation in governance activities will be directly tied to users’ staking levels within the loyalty tier structure (e.g., Platinum, Centurion), where higher tiers grant governance participation rights. Users need to maintain their staked tokens within the Platform to retain voting eligibility. The system may periodically determine eligibility through token snapshots at specific intervals or at the time a proposal is introduced.
  • Scope of Governance Decisions: Governance mechanisms primarily address economic parameters that directly impact the supported Creators, staking rewards and related economic incentives. ZOOPCoin holders can propose adjustments and vote on decisions relating to these economic models, including changes to reward distributions or staking policies.
  • Transparency and Verifiability: The governance process is designed to ensure transparency through the platform’s decentralized infrastructure. Votes are securely and transparently recorded, typically utilizing blockchain technology, providing verifiable proof of community involvement and voting outcomes.
  • Dynamic and Adaptive System: The governance framework is intentionally designed as an evolving system. It will adapt based on community feedback and practical experience, with the potential to include enhancements such as cross-chain optimizations or other community-suggested improvements. The platform commits to regularly evaluating and improving the governance processes based on user participation and feedback.

18. Creator Participation and Staking Support. ZOOP introduces a dedicated Creator Connection Mechanism through the staking of ZOOPCoin, designed specifically to strengthen the relationship between creators and their audiences. Users who hold ZOOPCoin can allocate their staked tokens in direct support of individual creators on the platform. This support entitles Users to several clearly defined benefits:

  • Enhanced Engagement Rewards: Users who stake tokens in support of specific Creators earn increased token rewards, incentivizing active engagement with that Creator’s content.
  • Priority Visibility: Supporters gain improved visibility within the supported Creator’s content streams, enhancing interaction and prominence within the Creator’s community.
  • Exclusive Digital Collectibles: Supporters receive access to special creator-specific digital collectibles that commemorate significant milestones, enhancing community recognition and reward loyalty.
  • Creator Governance Participation: Staking tokens also confers proportional voting rights to supporters on Platform decisions that directly affect the Creators they back, fostering active participation and meaningful influence within creator communities.

Participation in these creator-staking features remains voluntary and is intended primarily to strengthen community engagement and support within the ZOOP ecosystem.

Our goal is to foster deeper creator-fan connections through Web3 mechanics. If you engage in these features, do so in the spirit of support and community. All general Terms (like conduct rules, no harassment) fully apply in these contexts as well. If there’s any conflict between general Terms and a specialized creator feature policy, the general Terms still apply for fundamental issues.

VI. Disclaimers and Liability

19. Disclaimers of Warranties (No Warranty). The ZOOP Platform is provided to you on an “as is” and “as available” basis, without warranties of any kind, express or implied. To the fullest extent permitted under applicable law, ZOOP and its affiliates, and each of their respective officers, directors, employees, and agents disclaim all warranties of any kind, either express or implied, related to the Service and your use of it. This includes but is not limited to:

19.1. Implied Warranties: We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance. We do not guarantee that the Platform will meet your requirements or expectations, or that it will achieve any results.

19.2. Service Availability: ZOOP does not warrant that the Platform, including any content, information or functionality, will be uninterrupted, timely, secure, or error-free. We do not guarantee that any particular content, whether your own or others’, will always be available on the Platform. There may be times when the service is down for maintenance, upgrades or due to technical issues or network problems. There may also be times when certain features are disabled or removed. You assume the risk for any results of service interruptions or feature removals.

19.3. Content Accuracy: We make no warranties or representations about the accuracy or completeness of any content on the Platform, whether provided by us, Users, or third parties. Information, including token balances, points or profile data, could have bugs or display errors, though we aim to correct these promptly when identified. Use information obtained from the Platform at your own risk. Specifically, any analytics, insights or recommendations given to you are for general information and we do not warrant their accuracy or usefulness.

19.4. No Warranty on Reward Programs: ZOOP provides the loyalty and reward programs (Points, tokens, revenue sharing) as a feature, but we do not warrant or guarantee:

  • that these programs will continue indefinitely or under the same rules (they can change as noted),
  • that any particular user will receive any particular reward or amount (all rewards are subject to the Terms and our program rules),
  • that the conversion of Points to tokens or distribution of tokens will occur without delay or issues (technical delays can happen; token generation events can be postponed; etc.),
  • or that tokens, once received, will have any market value or utility outside the Platform.

19.5. Security: While we take security seriously, ZOOP does not warrant that the Platform will be free of viruses, malware, or other harmful components, or that security vulnerabilities will not exist. Any material downloaded or otherwise obtained through the use of our Service is done at your own discretion and risk. You are solely responsible for any damage to your computer system or loss of data (or digital assets like cryptocurrency in your wallet) that results from use of the Platform or downloading any content.

19.6. Third-Party Services: ZOOP may integrate or interface with third-party services (e.g., wallet providers, authentication services, social media sharing, or external links). We make no warranty as to those third-party services. They are outside our control and provided for your convenience. Use them at your risk; those third parties might have their own terms and privacy policies which we do not control.

19.7. Decentralized Technology: Some aspects of ZOOP may rely on blockchain or decentralized storage. You acknowledge that we have no control over and make no warranties regarding the proper functioning of public blockchain networks or decentralized networks. Transactions on blockchain may be irreversible, and we can’t guarantee they’ll be confirmed in any given timeframe or at all. If you make mistakes in blockchain transactions (such as sending tokens to the wrong address, or losing your private key), we cannot recover those assets as it’s an inherent risk of blockchain use, and we disclaim responsibility for it.

Holding ZOOPCoin does not grant ownership, equity interests, dividends, profit-sharing rights or voting rights regarding the Company itself.

20. Limitation of Liability. To the fullest extent permitted by law, in no event will ZOOP or its affiliates, or their respective officers, directors, employees, or agents, be liable to you or any third party for any indirect, incidental, special, consequential, exemplary or punitive damages whatsoever. This includes, without limitation, damages for lost profits, lost data, loss of goodwill, service interruption, computer damage, or system failure; or the cost of substitute services; or for any damages for personal or bodily injury or emotional distress arising out of or in connection with: (a) these Terms; (b) the use of or inability to use the Platform; (c) any conduct or content of any user or third party on the Platform (including offensive, defamatory, or illegal conduct or content); (d) unauthorized access, use, or alteration of your transmissions or content; or (e) any other matter arising from or relating to the Platform.

20.1. Liability of Digital Assets: Specifically, with respect to any loss or damage relating to digital assets (Points, tokens or other crypto assets), ZOOP is not liable for any loss of tokens or points due to technical errors on your part or due to third-party breaches.

20.2. Third Party and Content Liability: You agree that we have no responsibility or liability arising from:

  • Content posted by any other user or third party, even if it’s illegal or violates these Terms, for any period before it is removed though we will act as outlined to remove such content once noticed.
  • Your interactions with other users, whether online or in person. If you meet people through ZOOP and something goes wrong, that’s between you and them unless we’ve done something wrong directly.
  • Any third-party services or links, even if accessed via our Platform. If you follow a link to another site or use a third-party wallet or purchase something from a third-party vendor on the Platform, any issue is between you and that third party.
  • Any perks, rewards or promises made by a Creator to their subscribers, which are Users that subscribe and engage with their content. Any such arrangements are solely between the Creator and their fans, and are not guaranteed or vetted by ZOOP. 

By using the Platform, you understand and agree that you are using it at your own risk and that our liability to you is limited as stated in these Terms.

21. Indemnification. You agree to indemnify, defend and hold harmless ZOOP, its affiliates and their respective officers, directors, employees and agents (the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, demands, costs, and expenses arising out of or related to:

  • Your Content: any content you post, upload, or share on the Platform, including any claims that your content infringes or misappropriates the intellectual property rights or privacy rights of any third party, or that it is defamatory, obscene, or otherwise illegal.
  • Your Use of the Platform: your activities in connection with using the Service, including any reliance on any information obtained from the Platform, any transactions relating to tokens or assets initiated by you, or any dealings between you and other users or third parties.
  • Your Breach: any actual or alleged breach by you of these Terms, including any supplemental policies or guidelines incorporated by reference, or of any representations, warranties, or agreements made under these Terms.
  • Your Violation of Law: your violation of any applicable law, rule, or regulation in connection with your use of the Platform or participation in its token economy.
  • Misconduct: any fraud, intentional misconduct, or gross negligence by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you without limiting your indemnification obligations with respect to that matter. In such a case, you agree to cooperate with our defense of that claim. You will not settle any claim that affects any Indemnified Party or admits any fault or liability of any Indemnified Party without our prior written consent.

This indemnity obligation will survive any termination or expiration of your account or these Terms.

22. Release. To the fullest extent permitted by applicable law, you release ZOOP and its affiliates and agents from any and all claims or liability related to any Content posted on the Platform by you or others, or the conduct of any other users or third parties.If you are a California resident, you expressly waive California Civil Code §1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known, would have materially affected his settlement with the debtor or released party.” If you have some unknown claim against us that arises from something occurring before now, you agree that this release still applies.

VII. General and Final Provisions

23. Changes to the Terms or Services. ZOOP may modify these Terms from time to time. If we make material changes, we will provide you with notice in a manner we deem appropriate. The notice will designate a reasonable advance notice period before the updated Terms become effective, during which you have the right to reject the changes by discontinuing use of the Platform and, if you have an account, terminating it. If you continue to use the Service after the effective date of any revised Terms, that constitutes your acceptance of the changes.

For changes addressing new functions or made for legal reasons, we might have to make them effective immediately; we will still notify you appropriately.

In addition, ZOOP reserves the right to modify, suspend, or discontinue (temporarily or permanently) the Platform or any features or portions thereof (including the rewards program, token functionality, or availability of content) at any time. We will try to give advance notice if possible, but this may not always be feasible especially for suspensions due to security or legal issues. You agree that ZOOP is not liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part of it.

If we discontinue the Loyalty Points or token reward programs, we will make a good-faith effort to allow Users to redeem any significant accumulated value, however, this might be limited by legal constraints. After any program termination date, Points may simply expire and become unredeemable.

Always review the most current version of the Terms on our website or app. It’s your responsibility to stay informed of any updates. If you do not agree to any amended Terms, you must stop using the Platform.

24. Governing Law and Dispute Resolution. These Terms shall be governed by the laws of English and Wales, without regard to conflict of law principles.

If you encounter any disputes or disagreements regarding the ZOOP platform or these Terms, you agree to first contact us and attempt to resolve the matter informally and amicably within 30 days from first contact.

If informal resolution fails, the dispute shall be settled by binding arbitration conducted by a recognized arbitration body mutually agreed upon by both parties, in accordance with its rules. Arbitration proceedings shall take place remotely or in person in London, United Kingdom, and shall be conducted in English.

You and ZOOP explicitly agree that disputes shall be arbitrated individually and not through any form of class or representative action. Both parties waive the right to participate in any class or collective proceeding. Notwithstanding this arbitration clause, either party may seek injunctive or equitable relief from competent courts in London, United Kingdom, for disputes involving intellectual property infringement or misuse.

25. Miscellaneous.

25.1. Entire Agreement: These Terms, along with any incorporated documents like the Privacy Policy or additional program terms, constitute the entire agreement between you and ZOOP regarding the Platform, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties about the Platform.

25.2. No Waiver: Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ZOOP to be effective. If we do waive a default or breach on one occasion, that doesn’t mean we waive for future or other defaults/breaches.

25.3. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court or arbitrator of competent jurisdiction, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect. In other words, the invalid part will be severed, and the rest will still apply.

25.4. Assignment: You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without our prior written consent. Any attempted assignment by you without consent is null. ZOOP may freely assign or transfer these Terms without your consent. These Terms shall bind and insure to the benefit of the parties, their successors, and permitted assigns.

25.5. Relationship of Parties: You and ZOOP are independent contractors. These Terms do not create a partnership, joint venture, employment, franchise, or agency relationship between us. You have no authority to act on behalf of ZOOP or bind us in any way, and vice versa.

25.6. Force Majeure: ZOOP shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, such as natural disasters, war, terrorism, riots, embargos, governmental action, labor strikes, internet outages, blockchain network outages or congestion, power failures, or pandemics (force majeure events). We will attempt to resume performance as soon as practicable.

25.7. Notices: We may provide notices to you by email, via in-app notifications or by posting on our website. You may provide notice to us by contacting our support or by sending an email to support@ZOOP.com (or any address we provide for legal notices). 

25.8. Headings and Interpretation: Section headings in these Terms are for convenience only and have no legal or contractual effect. Words like “including” mean “including without limitation.” These Terms will not be construed against the drafter.
